Terms of Service.

These Terms of Service (the “Terms”) are entered into between you and Logix Labs LLC(“Logix Labs,” “we,” “us,” or “our”), a digital engineering studio based in Costa Mesa, California, United States. They govern your access to and use of the website at logixlabsx.ai (the “Site”), including all pages, content, and the contact form. Our Privacy Policy describes how we handle information and is incorporated into these Terms by reference.

The Site is an informational marketing site describing the professional services Logix Labs offers — including website design and development, custom application development, AI automation systems, infrastructure, search engine optimization, paid acquisition, social media marketing, and brand work.

Content on the Site is provided for general information only. It is not a binding offer, quote, or guarantee of any particular result, timeline, or price. Client engagements are governed exclusively by a separate written service agreement or statement of work signed by both parties. If anything on the Site conflicts with a signed agreement, the signed agreement controls.

You may use the Site for lawful purposes only. You agree not to:

• Probe, scan, or test the vulnerability of the Site, or interfere with its operation or security measures
• Use bots, scrapers, or other automated means to harvest content or submit forms, or otherwise send automated, bulk, or spam submissions
• Misrepresent your identity or affiliation in any communication with us
• Use the Site to transmit anything unlawful, infringing, or harmful
• Frame, mirror, or republish the Site or substantial portions of its content without our prior written permission

We may suspend or block access to the Site at our discretion to protect it or its users.

The Site and everything on it — text, copy, design, graphics, page layouts, animations, code, the Logix Labs name and logo — are owned by Logix Labs LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your personal or internal business evaluation of our services. No other rights are granted.

Open-source software used to build the Site remains subject to its own licenses, which are credited at logixlabsx.ai/attributions.

When you submit the contact form or otherwise communicate with us, you represent that the information you provide is accurate and that you have the right to share it. We will use it as described in our Privacy Policy.

Ideas, suggestions, or materials you send us outside of a signed engagement are non-confidential. Do not send us confidential or proprietary information through the contact form; a mutual agreement covering confidentiality comes first in any real engagement.

The Site may link to third-party websites and services we do not control. Those links are provided for convenience and do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms and policies.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT IS CURRENT OR COMPLETE. CONTENT MAY CHANGE WITHOUT NOTICE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIX LABS AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT APPLY TO SERVICES DELIVERED UNDER A SIGNED SERVICE AGREEMENT, WHICH CARRIES ITS OWN TERMS.

You agree to indemnify and hold harmless Logix Labs LLCand its owners, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site that cannot be resolved informally will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction and venue there. Before filing any claim, you agree to first contact us and make a good-faith effort to resolve the dispute informally.

We may revise these Terms from time to time. The current version is always posted at logixlabsx.ai/terms with its effective date at the top. Changes take effect when posted, and your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and Logix Labs regarding use of the Site — they do not replace or modify any signed service agreement.
